Compliance

We have established the "FUJIKURA COMPOSITES Code of Conduct" to comply with laws and regulations and in accordance with social ethics, ensuring we remain a good member of society under our management philosophy to realize an enriched society. We share the code of conduct with all employees and strive to truly enhance our corporate value. In addition to adhering to laws and regulations and social ethics, we wish to practice our corporate ethics—including social norms—at an even higher level in all business activities. We aim to "act with integrity" in line with the Group Values (shared values) based on our corporate group's mission.

Compliance promotion structure

We have established the Compliance Promotion Committee as a body to deliberate on matters related to compliance promotion. The committee formulates annual activity plans and discusses measures to prevent the recurrence of violations when they occur.

Compliance training

We work to raise our employees’ compliance awareness through new employee training and role-specific training.

FUJIKURA COMPOSITES Code of Conduct

We have established the "FUJIKURA COMPOSITES Code of Conduct" that stipulates our behavioral guidelines, including compliance, and apply them to all directors and employees of our corporate group. The code of conduct serves as the basis for our actions and stipulates the standards of judgment that every employee can apply to their daily actions in a manner that aligns with our shared values based on our corporate philosophy.

nternal reporting system

In order to prevent, detect, and address any misconduct at an early stage, we have established an internal reporting structure and a harassment consultation service, which can be used by anyone, both inside and outside the company. Five whistleblower reports were made in FY2023.

Internal reporting system

We have established an internal control system to ensure management's legality, soundness, and transparency and to realize our management philosophy. Believing that this system is essential to the company's existence and value enhancement, we strive to establish and operate an appropriate system regarding operational efficiency, transparency, and fairness. In executing business, we formulate business plans based on the internal control basic policy and management policies and plans, including the decision-making rules established based on the internal control basic policy. We also strictly manage business performance, constantly monitor situations, and make necessary adjustments to ensure efficient business operations. In addition, we conduct cross-sectional and integrated risk management by continuously identifying, analyzing, and evaluating significant risks and examining countermeasures.

Compliance with laws and regulations

There were no serious legal violations or fines in FY2023.

Payment of taxes

Based on the "FUJIKURA COMPOSITES Code of Conduct," we comply with domestic and foreign laws and regulations and ensure that internal rules are maintained and adequately applied. We make sure our tax procedures are accurate and transparent. We will work closely with tax specialists in countries and regions where our corporate group operates to ensure that we pay taxes legally and appropriately.

Prohibiting bribery

Growing worldwide concern over human rights and labor practices has led to stricter regulations in developed countries regarding bribery to public officials and others in countries other than their own, which can impede proper government functions. Our corporate group complies with all bribery regulations in all countries and regions in which the group operates, including the Unfair Competition Prevention Act in Japan, the Foreign Corrupt Practices Act in the United States, and the Bribery Act in the United Kingdom.
